Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Entropsy platform, website, reports, and related services (collectively, the "Service") operated by Entropsy, Inc. ("Entropsy," "we," "us," or "our"), a Delaware corporation.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Entropsy is an AI-powered risk intelligence platform that helps businesses, investors, and financial institutions understand how artificial intelligence may affect their operations, revenue, and competitive landscape. The Service provides automated analysis, risk scoring, and scenario modeling based on publicly available data about AI tools, venture capital funding, and market dynamics.

You acknowledge and agree to the following:

• For planning purposes only. All reports, assessments, scores, and analysis provided by Entropsy are intended for informational and planning purposes only. They do not constitute financial, legal, investment, tax, or other professional advice.
• Illustrative scenarios, not predictions. All projections, forecasts, risk scores, and modeled outcomes (including Revenue-at-Risk estimates, Entropsy Index values, P10/P50/P90 scenarios, and timeline projections) are illustrative scenarios based on current data and assumptions. They are not predictions, guarantees, or representations of future performance.
• AI-generated analysis. Portions of the Service rely on artificial intelligence and machine learning models to generate analysis, classify tools, and produce risk assessments. AI-generated content may contain errors, inaccuracies, or incomplete information. You should independently verify any information before making business decisions based on it.
• Revenue-at-Risk estimates. Revenue-at-Risk and related metrics are modeled scenarios derived from statistical analysis of AI tool capabilities, market trends, and service coverage. They represent potential exposure under specific assumptions and are not guaranteed outcomes.
• No warranty on tool profiles. Entropsy maintains profiles of AI tools, companies, and competitive landscapes based on publicly available information. We do not guarantee the accuracy, completeness, or currency of these profiles. Tool capabilities, funding status, and market positioning may change without notice.

Our analysis is based on publicly available data including, but not limited to: AI tool databases, venture capital funding records, company websites, public financial disclosures, web traffic metrics, domain registration data, and market research. We aggregate, normalize, and analyze this data using proprietary scoring models and AI-powered classification systems.

We do not access, scrape, or use any private or confidential data about the businesses or tools we analyze beyond what is publicly available.

When you use the Service to generate an assessment, you may provide information about your business, including industry, services offered, revenue breakdown, and operational details ("Assessment Inputs"). You acknowledge that:

• Assessment Inputs are stored in our systems to generate your reports and provide ongoing monitoring (if subscribed).
• We may use aggregated, anonymized data derived from Assessment Inputs to improve our models and benchmarks. Individual business data is never shared or made identifiable.
• You are responsible for the accuracy of the Assessment Inputs you provide. Inaccurate inputs may lead to unreliable results.

You may need to create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or attempt to circumvent access controls.

The Service is available in the following tiers:

• Free tier: Limited access to risk assessments with summary-level results. No payment required.
• Pro tier: Full access to detailed reports, agentic AI analysis, continuous monitoring, and all platform features. Available at $149 per month or $1,249 per year, billed in advance.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a paid period.

We reserve the right to change subscription pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Certain reports or assessments may be available as one-time purchases. One-time report purchases are non-refundable once the report has been generated and delivered, as the computational resources and AI analysis are consumed upon generation. If a report fails to generate due to a technical error on our part, we will either re-generate the report or issue a full refund at our discretion.

The Service, including its design, scoring models, algorithms, reports, and content (excluding your Assessment Inputs), is the property of Entropsy, Inc. and is protected by applicable intellectual property laws.

You retain ownership of your Assessment Inputs. By providing them, you grant Entropsy a limited, non-exclusive license to use them for the purpose of providing the Service and improving our models in anonymized, aggregated form.

You may share reports generated for your organization internally and with your professional advisors. You may not resell, redistribute, or publicly publish Entropsy reports or data without our written consent.

You agree not to:

• Use the Service to make automated decisions about employment, credit, insurance, or other areas where erroneous AI output could cause material harm to individuals.
• Reverse-engineer, decompile, or attempt to extract our scoring models, algorithms, or proprietary methodologies.
• Use automated systems (bots, scrapers, etc.) to access the Service without our written permission.
• Misrepresent Entropsy reports as certified audits, financial statements, or regulatory filings.
• Use the Service in violation of any applicable law or regulation.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify subscribers of material changes that affect their use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTROPSY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ENTROPSY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ENTROPSY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT RESULTS WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

You agree to indemnify and hold harmless Entropsy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
